Terms of Service

By accessing, registering for, or using STRIX (the "Platform"), you ("User," "you," or "your") agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and all other policies incorporated by reference herein. If you do not agree to these Terms in their entirety, you must not access or use the Platform.

Your continued use of the Platform after any modification to these Terms constitutes your acceptance of the revised Terms. These Terms constitute a binding legal agreement between you and STRIX, LLC ("Company," "we," "us," or "our").

STRIX is a software-as-a-service (SaaS) platform that provides AI-powered algorithmic trading tools, portfolio analytics, and automated order execution capabilities to individual subscribers. The Platform includes, but is not limited to:

• AI-generated trade signals and market analysis based on proprietary machine learning models
• Automated trading execution via connected brokerage accounts ("Bot Mode")
• Portfolio performance tracking, metrics, and reporting dashboards
• Strategy creation, backtesting, and configuration tools
• Market scanning, pattern recognition, and technical analysis tools
• Morning briefings, AI learning logs, and educational market content
• API connectivity to supported third-party brokerage platforms

The Platform is a technology tool. It does not provide personalized investment advice, broker-dealer services, or any regulated financial services. All trading decisions, whether made manually or through automated features, are ultimately the User's sole responsibility.

To access and use the Platform, you must meet all of the following eligibility requirements:

• Age: You must be at least 18 years of age.
• Residency: You must be a resident of the United States. The Platform is currently available to US residents only. We do not accept registrations from individuals located in jurisdictions where the use of algorithmic trading tools is prohibited or restricted.
• Brokerage Account: You must hold a valid brokerage account with a supported brokerage provider. You are solely responsible for opening, funding, maintaining, and complying with the terms of your own brokerage account.
• Legal Capacity: You must have full legal capacity to enter into binding contracts under applicable law.
• Compliance: You must not be subject to any sanctions, trading prohibitions, or restrictions imposed by US government agencies (including FINRA, SEC, CFTC, or OFAC).

By creating an account, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to request verification of your eligibility at any time and to suspend or terminate accounts that do not meet these requirements.

Access to the Platform is provided on a subscription basis. The following subscription tiers are currently offered:

Auto-Renewal

All subscriptions automatically renew on a monthly basis unless cancelled. By subscribing, you authorize us to charge your payment method on file for the applicable subscription fee at the start of each billing period.

Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting support@strixalgo.ai. Cancellation takes effect at the end of the current billing period. No refunds are issued for the current or any previously completed billing period. Upon cancellation, you will retain access to the Platform through the end of the paid period.

Price Changes

We reserve the right to modify subscription pricing at any time. We will provide at least 30 days' written notice via email before any price increase takes effect for existing subscribers. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.

Failed Payments

If a payment fails, we may retry the charge and/or suspend your access to the Platform until payment is successfully processed. You are responsible for maintaining valid payment information on file.

Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for any sales, use, or similar taxes imposed on your subscription by applicable law.

No Guarantee of Results

Past performance of any strategy, signal, or algorithm does not guarantee or predict future results. All historical performance data presented on the Platform is for informational purposes only and is not indicative of future returns. Market conditions change, and no trading system performs consistently under all conditions.

Not Financial Advice

STRIX is a technology platform, not a financial advisor, registered investment advisor (RIA), broker-dealer, or any other type of regulated financial institution. Nothing on the Platform constitutes personalized investment advice, a solicitation to buy or sell securities, or a recommendation to follow any particular trading strategy. AI-generated trade signals are algorithmic outputs, not financial advice. You should consult with a qualified financial professional before making any investment decisions.

User Assumes All Risk

You assume full and sole responsibility for all trading activity conducted through your connected brokerage account, including all losses resulting from automated or manual trades initiated via the Platform. By enabling any feature of the Platform—including Bot Mode—you acknowledge that you have independently evaluated the risks and determined the Platform's use is appropriate for your financial situation and investment objectives.

Not a Registered Entity

STRIX, LLC is not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), or any other financial regulatory body. We are a technology company providing software tools, not financial services.

Tax Obligations

You are solely responsible for determining, reporting, and paying all applicable taxes arising from your trading activity, including but not limited to capital gains taxes, wash sale rules, and any other tax obligations under federal, state, or local law. STRIX does not provide tax advice. You should consult a qualified tax professional regarding your trading activity.

Technical and Market Risks

You acknowledge and accept that the following risks may cause financial losses, for which STRIX bears no liability:

• Market volatility, flash crashes, circuit breakers, or trading halts
• Platform downtime, server outages, or maintenance windows
• Brokerage API failures, rate limiting, or connectivity interruptions
• Delays in order execution due to network latency or exchange congestion
• Inaccurate or delayed market data from third-party data providers
• Software bugs, model errors, or unexpected algorithm behavior
• Cybersecurity incidents affecting the Platform or your brokerage account
• Force majeure events including regulatory actions, market closures, or acts of God

STRIX may provide pre-built trading strategy templates ("Pre-Built Strategies") for user convenience. By activating any Pre-Built Strategy, you expressly acknowledge and agree to the following:

• No Performance Guarantee: Pre-Built Strategies are provided strictly "as-is" for informational and educational purposes only. STRIX makes no representation, warranty, or guarantee that any Pre-Built Strategy will be profitable, suitable for your financial situation, or perform as described.
• Backtested Results Are Not Predictive: Any historical or backtested performance data reflects simulated past conditions only. Past performance — simulated or actual — does not guarantee future results.
• Total Loss of Capital: Pre-Built Strategies may result in partial or total loss of invested capital. Options trading and leveraged strategies carry particularly high risk and are not suitable for all investors.
• Not Investment Advice: Pre-Built Strategies do not constitute investment advice, financial planning, or a recommendation to buy or sell any security. You are solely responsible for evaluating whether any strategy is appropriate for your individual situation.
• Your Responsibility: You are solely responsible for all trading decisions made using Pre-Built Strategies, including all resulting gains or losses. STRIX bears no liability for losses arising from use of any Pre-Built Strategy.
• Consult a Professional: Before activating any automated strategy with real capital, we strongly recommend consulting a licensed financial advisor.

STRIX offers an automated trading feature ("Bot Mode") that, when enabled, allows the Platform's AI systems to place, modify, and cancel orders on your connected brokerage account without requiring manual confirmation of each trade.

When you enable Bot Mode, you acknowledge and agree to the following:

• Orders may be placed and executed at any time markets are open, including pre-market and after-hours sessions, without your real-time knowledge or approval
• The AI system may trade any security or instrument within the configured strategy's scope
• Automated trades can result in significant losses in a short period of time
• You have reviewed and understand the strategy configuration, including position sizing, risk parameters, and target instruments
• You are fully responsible for all orders placed and executed through Bot Mode
• STRIX is not liable for any losses, including total loss of account equity, resulting from automated trading

Disabling Bot Mode

You may disable Bot Mode at any time from your account settings. Disabling Bot Mode will stop the Platform from placing new orders but will not automatically close or modify any existing open positions. You are responsible for managing any open positions after disabling automated trading.

Emergency Stop

We provide an emergency stop function to halt all automated trading. However, we cannot guarantee that an emergency stop will prevent all pending orders from executing, particularly if they have already been transmitted to your broker. Orders that have been submitted to the exchange may not be cancellable.

To use trading features of the Platform, you must connect a brokerage account that you own and control. By connecting your brokerage account, you:

• Represent that the account is lawfully opened in your name and that you have full authority to authorize third-party access and trading
• Grant STRIX permission to read account data (balances, positions, history) and to submit, modify, and cancel orders on your behalf
• Remain solely responsible for all compliance with your brokerage's own terms of service, margin requirements, account restrictions, and trading rules
• Acknowledge that STRIX has no control over your broker's systems, fees, margin calls, liquidations, or account restrictions
• Agree to promptly revoke the Platform's API access if you close your account or no longer wish to use the Platform

You are responsible for ensuring your brokerage account remains funded at levels appropriate for your trading strategy. STRIX is not responsible for margin calls, forced liquidations, or other actions taken by your broker.

STRIX supports paper trading (simulated) accounts for testing strategies with no real money at risk. We strongly encourage all new users to test strategies in paper trading mode before enabling live trading.

You agree that you will not use the Platform for any of the following purposes:

• Market Manipulation: Engaging in any form of market manipulation, spoofing, layering, wash trading, pump-and-dump schemes, or any other activity that violates applicable securities laws or exchange rules
• Illegal Trading: Trading on material non-public information (insider trading), front-running, or any activity that violates federal or state securities laws, FINRA rules, or exchange regulations
• Account Sharing: Sharing your account credentials with any third party or allowing any other person to access or use your account
• Reverse Engineering: Attempting to reverse engineer, decompile, disassemble, or derive the source code or underlying algorithms of the Platform
• Unauthorized Access: Attempting to access systems, data, or accounts you are not authorized to access; attempting to probe, scan, or test the Platform for vulnerabilities
• Automated Scraping: Using bots, scrapers, or automated tools to extract data from the Platform beyond what is provided through our official API
• Interference: Interfering with or disrupting the Platform's infrastructure, servers, or networks
• Circumvention: Attempting to circumvent any security, rate-limiting, or access control measures
• Resale: Reselling, sublicensing, or otherwise commercializing the Platform's outputs, signals, or data without our express written consent
• Illegal Activity: Using the Platform in connection with any activity that violates applicable law, including money laundering, fraud, or tax evasion

Violation of these prohibitions may result in immediate account termination, forfeiture of any prepaid subscription fees, and referral to appropriate law enforcement authorities.

All content, features, and technology comprising the Platform are the exclusive intellectual property of STRIX, LLC or its licensors. This includes, without limitation:

• The Platform's software, source code, and architecture
• Proprietary AI models, machine learning algorithms, and trading signal generation systems
• Strategy frameworks, scoring systems, and portfolio analysis methodologies
• Datasets, training data, and proprietary market intelligence
• The STRIX name, logo, brand identity, and all associated trademarks
• UI/UX design, dashboards, reports, and visual outputs
• Documentation, educational content, and morning briefings

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal trading purposes only. This license does not include any right to copy, modify, distribute, sell, sublicense, or create derivative works based on the Platform or its outputs.

Any feedback, suggestions, or ideas you provide about the Platform may be used by us without any obligation to you.

Data We Collect

In connection with your use of the Platform, we collect and process the following categories of data:

• Account Data: Name, email address, username, and payment information provided during registration
• Trading Data: Trade history, order records, positions, account balances, and portfolio performance data synced from your connected brokerage account
• Usage Data: Features used, settings configured, strategies created, bot activity logs, and interaction patterns within the Platform
• Technical Data: IP addresses, device identifiers, browser type, and session data for security and service improvement
• AI Interaction Data: Queries, strategy configurations, and signal feedback used to improve our AI models

How We Use Your Data

We use collected data for the following purposes:

• Providing, operating, and improving the Platform and its AI systems
• Processing payments and managing your subscription
• Training and refining our proprietary AI and machine learning models (using anonymized or aggregated data)
• Detecting fraud, unauthorized access, and security threats
• Communicating service updates, account notifications, and support responses
• Complying with legal obligations

Data Sharing

We do not sell your personal data or trading data to third parties. We may share data with trusted service providers (such as payment processors, cloud infrastructure providers, and email services) solely to operate the Platform, and only under strict confidentiality agreements. We may disclose data if required by law, court order, or regulatory authority.

Data Security

We implement industry-standard security measures to protect your data, including encryption in transit and at rest, access controls, and regular security reviews. However, no system is 100% secure, and we cannot guarantee absolute security of your data.

Data Retention

We retain your data for as long as your account is active and for a reasonable period thereafter as required by law or legitimate business purposes. You may request deletion of your data by contacting support@strixalgo.ai, subject to applicable legal retention requirements.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRIX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• Any trading losses, investment losses, or financial damages of any kind arising from your use of the Platform, including losses resulting from automated or manual trades
• Any indirect, incidental, special, consequential, punitive, or exemplary damages
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from Platform downtime, outages, bugs, or technical failures
• Damages resulting from brokerage API failures, data feed inaccuracies, or third-party service disruptions
• Unauthorized access to your account or brokerage account

Liability Cap

IN ALL CASES, STRIX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT OF SUBSCRIPTION FEES YOU PAID TO STRIX IN THE ONE (1) CALENDAR MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for consequential or incidental damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless STRIX, LLC and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Platform, including any automated trading activity conducted through your account
• Your violation of these Terms or any applicable law or regulation
• Your trading activity and any claims by your broker, regulators, counterparties, or other third parties arising therefrom
• Any misrepresentation you made in registering for or using the Platform, including misrepresentation of eligibility
• Your infringement of any third-party intellectual property, privacy, or other rights
• Your violation of any financial regulation, including securities laws and exchange rules

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, at your expense. You agree to cooperate fully with our defense of any such claim.

Termination by You

You may terminate your account at any time by cancelling your subscription through account settings or contacting support@strixalgo.ai. Termination does not entitle you to a refund for any unused portion of a paid billing period.

Termination by Us

We reserve the right to suspend or permanently terminate your account, with or without notice, for any of the following reasons:

• Violation of any provision of these Terms
• Suspected or confirmed illegal trading activity, market manipulation, or other conduct that violates securities law
• Failure to pay subscription fees
• Fraudulent, deceptive, or abusive conduct toward the Platform or other users
• Requests from law enforcement or regulatory authorities
• Circumstances where continued access poses a risk to the Platform's security or integrity
• Our decision to discontinue the Platform or any portion thereof

Effect of Termination

Upon termination, your right to access the Platform ceases immediately. We may retain your data as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination (including Sections 5, 11, 12, and 14) shall survive.

Effect on Automated Trading

Upon termination or suspension of your account, STRIX will immediately and automatically disable all active trading bots and automated strategies operating on your behalf. No new orders will be placed by STRIX after termination takes effect. However, any orders already submitted to your brokerage at the time of termination may continue to execute pursuant to your brokerage's order processing rules. STRIX bears no responsibility for such orders.

Effect on Brokerage Account & Funds

STRIX does not hold, custody, or control your funds at any time. Your brokerage account — and all funds therein — remain solely under your control and are governed exclusively by your brokerage provider's terms of service. Upon termination:

• STRIX will revoke its API access to your brokerage account, preventing any further automated activity on your behalf
• Your brokerage account remains open and fully accessible to you directly through your brokerage provider
• Any open positions at the time of termination remain in your brokerage account and are your sole responsibility to manage or close
• Your funds are not transferred, withheld, or affected in any way by STRIX as a result of termination

If you are a user of a STRIX-connected Alpaca account, your Alpaca account is governed by Alpaca's Customer Agreement and is protected by SIPC up to applicable limits. STRIX has no authority over Alpaca's custody of your assets.

Data Retention Upon Termination

Upon termination, we may retain certain account data (including trade history and audit logs) for up to 7 years as required by applicable financial recordkeeping regulations. Personal identifying information will be handled in accordance with our Privacy Policy. You may request deletion of your data by contacting support@strixalgo.ai, subject to our legal retention obligations.

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States of America, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Minnesota. You hereby irrevocably consent to personal jurisdiction in, and the exclusive venue of, such courts.

Dispute Resolution

Before filing any legal action, you agree to contact us at support@strixalgo.ai to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving written notice. If informal resolution fails, either party may pursue formal legal action in the courts specified above.

Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING AGAINST STRIX. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS.

We reserve the right to modify these Terms at any time. The nature of the modification will determine the notice provided:

• Material Changes: For changes that materially affect your rights or obligations, we will provide at least 30 days' advance written notice via email to the address on file with your account. The notice will clearly identify the nature of the changes.
• Minor Changes: For non-material changes (such as corrections, clarifications, or formatting updates), we may update these Terms immediately with notice via a banner or notification within the Platform.

Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your subscription before the changes take effect.

The current effective date is always displayed at the top of this page.
